McGuireWoods is seeking an Associate to support its Securities and Capital Markets team in either Charlotte or Richmond.
The McGuireWoods Securities & Capital Markets Department consists of more than 50 attorneys who concentrate on securities and corporate finance matters for public and private companies. Our public clients include Fortune 100 companies as well as smaller reporting companies. The diversity of our clients and the broad base of our experience allow us to confront all manner of issues and opportunities on behalf of our clients, and as a result, we have developed best practices and efficiencies that are available to all of our clients.
We provide a full range of securities and corporate finance legal services to our public and private company clients including:
- Registered public offerings under the1933 Act
- Private placements and other exempt offerings
- Reporting under the 1934 Act (such as Forms 10-K, 10-Q and 8-K)
- Debt and equity tender offers (self-tenders and third party tenders)
- Exchange offers
- Consent solicitations
- Proxy solicitations and annual shareholder meetings
- Corporate governance matters including compliance with the Sarbanes-Oxley Act, the Dodd-Frank Act and related regulations
- Compliance with exchange listing requirements
- Insider stock ownership reporting and company compliance mandates
- Public and investor communications and press release policies and procedures, including Regulation FD compliance advice
- Shelf registration of debt, equity and hybrid securities, and at-the-market and medium-term-note programs
- Foreign issuance programs for notes, warrants and certificates

- The ideal Associate should have 3-5 years of experience in securities, capital markets and other transactional matters.
- We are seeking candidates who have solid securities law experience including advising public companies in their ongoing reporting obligations and capital markets transactions.
- Must be barred in VA.
